Re: An investment transaction in the Kahr Medical (2005) Company Ltd.

Following the Company’s immediate report of December 15th, 2015 (reference number: 2015-01-180396), regarding an investment transaction in the Kahr Medical (2005) Company Ltd., a subsidiary of the Company (hereinafter: “Kahr”), amounting to $12,000,000, according to a $25,000,000 pre money valuation at full dilution (hereinafter: “The Investment Transaction”), and the eligibility of shareholders in Kahr and others, to invest at the same terms of conditions as in the Investment Transaction, an additional overall amount of up to $3,000,000 no later than February 15th, 2016, so long as the total investment amount does not exceed $15,000,000 (hereinafter: “The Deffered Closing”), and following the Company’s immediate report of January 3rd, 2016 (reference number: 2016-01-000205) regarding the Company’s notice to Kahr, that it intended to invest $750,000 within the Deffered Closing, the Company has the honor to announce that within the Deffered Closing, Kahr has raised an overall amount of $3,000,000 from the existing shareholders and from others. Pursuant to the aforementioned, the overall investment amount within The Investment Transaction is $15,000,000.

After the Late Closing, the Company’s holdings in Kahr amount to about 31% of Kahr’s issued share capital.

The Company has studied the transaction’s effect relative to its control over Kahr upon the Company’s financial statements and found that the Company has not lost control over Kahr, and therefore The Investment Transaction would have no effect on the Company’s profit and loss in its financial statements.
